Board Member Job Description; Committee Descriptions Lakeside/St. Nicholas Alumni Association 1. Serve a three-year term. 2. Attend monthly evening board meetings per year from September to June. 3. Serve on one of three board committees, listed below. These committees usually meet three to five times per year, either after alumni board meetings or independently. Alumni Connections Committee. Networks with Lakeside community to solicit and encourage alumni participation and support in matters concerning Lakeside. Researches and helps implement ways for alumni to become involved in the life of the school. Implements yearly assembly for current students, such as "Career Day". Activities Committee. Organizes and promotes alumni events and activities. Mission and Governance Committee. Researches and nominates candidates for the Distinguished Alumni Award annually. Reviews board operations and recruits new board members. 4. Annual Fund contribution and direct participation by attending the Annual Fund kickoff. Attend other alumni related fundraising activities as needed. 5. Serve as a resource to the Board of Trustees committees, if asked. The standing committees of the Board of Trustees are:

Become as knowledgeable as possible about Lakeside and its plans and programs in order to both reflect this information to fellow alumni and others, and to provide feedback to the school on what alumni think and want in relation to Lakeside. 7. Visit the Upper School campus or Middle School campus during Trustee/Board member visit dates, at least twice during your three-year term. Immediate-Past President All board members will serve on one of the three committees listed below. Committee meetings are held at each regular board meeting. Additional meetings are at the discretion of the committee chair. During a three-year term, members may serve on the same or different committees, as space and distribution permit. BYLAWS OF THE LAKESIDE/ST. NICHOLAS ALUMNI ASSOCIATION ARTICLE I Section 1. This organization shall be known as THE LAKESIDE/ST. NICHOLAS ALUMNI ASSOCIATION. The active body representing this organization is the Lakeside/St. Nicholas Alumni Board (the "Board"). Section 2. Purpose. The purpose of the Lakeside/St. Nicholas Alumni Association and the Board is to promote a continuing and mutually beneficial relationship between the alumni and Lakeside School. Section 3. Long-Term Goals. The following long-term goals shall serve to guide policy and activities of the Lakeside/St. Nicholas Alumni Association and the Board:
ARTICLE II Section 1. All graduates of Lakeside School and St. Nicholas School and all persons who have completed satisfactorily one year of academic work at Lakeside School or St. Nicholas School shall be active members of the Lakeside/St. Nicholas Alumni Association. Section 2. Honorary Membership to either the Lakeside/St. Nicholas Alumni Association or the Board may be awarded to selected individuals as decided by a vote of the Board. Any individual elected as an honorary member shall be a non-voting member. Honorary Membership may be revoked at any time by a majority vote of the board. ARTICLE III Section 1. Number and Terms of Alumni. The management of the Alumni Association shall be vested in an Alumni Board which shall consist of at least at least twenty-one (21) and no more than twenty-five (25) Alumni. Members shall be elected to staggered terms of three years commencing in June, each such that no more than one half of the Alumni Board shall be elected in one year. There shall not be more than two members from any one class of Lakeside and St. Nicholas on the Board at any one time. The President of the Board has the discretion to extend any existing term and to create a term of less than three years. Section 2. Meetings. Meetings of the Board shall be held at such time and place as determined by the President and may be called by the President or by a majority of the Board. Notice shall be given to each member of the Board indicating the time, place, and meeting agenda. Section 3. Election to the Board. New members of the Board shall be elected by the members of the Board from a slate of candidates submitted by the Mission and Governance Committee. The Mission and Governance Committee shall present a slate of candidates to the Alumni Board. The members shall approve or disapprove the slate of candidates. The Executive Committee shall then appoint new members from the approved slate. The Mission and Governance Committee shall attempt to ensure diverse representation from all members of the Alumni Association. Section 4. Vacancies. In the case of any vacancy in the Board, the remainder of the Board shall have the power to fill such vacancy for the unexpired term. Section 5. Removal. Any member of the Board, including any officer, may be removed from office with or without cause at any meeting of the Board by a vote of all Board members present. ARTICLE IV Section 1. Officers. Officers of the Board shall consist of a president, three committee chairs, and the immediate past president, one of whom will be designated as a vice president. Section 2. President. The President shall be nominated from the membership of the Board by the Alumni Relations Office of Lakeside School and the Executive Committee of the Board. The President shall preside over all meetings of the Board. The President shall have general and active management of the affairs of the Alumni Association and the Board, and shall see that all orders and resolutions of the Board are carried out. The President shall be an ex-officio member of all standing committees and shall have the general powers and duties of supervision and management. Section 3. Vice President. The Vice President will be nominated by the President-Elect and the Alumni Relations Office and approved by a vote of the Board. The Vice President shall perform the duties and exercise the powers of the President during the absence or disability of the President. Section 4. Staff Liaison. The Director of Alumni Relations or another member of the administrative staff of the Lakeside Alumni Relations Office shall hold the position of the staff liaison, and shall act as a representative of the Alumni Association and the Board to the school's faculty, staff, students, and administration, and as an advisor to the Board and a liaison between the Board and the School Relations Office. The Staff Liaison shall be responsible for administrative support and for managing the Board budget in cooperation with the Alumni Relations Office and the Business Manager. The Staff Liaison is a voting member of the Board. ARTICLE V Section 1. Executive Committee. The Executive Committee of the Board shall be made up of the President and four officers. Executive Committee officers shall be nominated by the Alumni Relations Office of Lakeside School and approved by a vote of the Board. Each Executive Committee officer shall serve as chairperson to one board committee, except the immediate past president, who shall serve as a committee chair to special committees as needed. Section 2. Standing Committees. Committee Chairs shall solicit interest for appointment to the standing committees from the members of the Board. Membership for the committees will be approved by the Committee Chairs. The Board Committees are: 1) Activities Committee. This committee has direct responsibility for partnering with the Alumni Relations Office for the planning, and execution of large alumni invents including, but not limited, to Reunion Weekend, annual alumni sport events, and service projects. 2) Alumni Connections (formerly Alumni Resources) Committee. This committee develops ideas for overall alumni support and understanding of Lakeside School and its programs. 3) Mission and Governance (formerly Operations) Committee. This committee manages the research and recruitment of board members and the Distinguished Alumni Award recipient. Section 3. Special Committees. The President of the Board may designate such additional special committees as needed on a yearly basis. ARTICLE VI Section 1. A quorum for transaction of business at any meeting of the Board of Directors shall consist of a majority of members present. Section 2. Only members of the Board may vote at any meeting of the membership. Each Board member shall have one (1) vote. Section 3. Unless otherwise provided, an action of the Board shall be approved by a majority vote of members present. ARTICLE VII Section 1. Meetings held under these Bylaws shall be conducted at the discretion of the President. Seven days’ notice via email or other means shall be given to each member of the Board indicating time, place and meeting agenda. Section 2. "Robert's Rules of Order, Revised" shall be regarded as advisory to the conduct of meetings. Generally, the following order of business will pertain: 1. Call to order 2. Reading and disposition of minutes 3. Reports of the Board and standing committees 4. Unfinished business 5. New business 6. Adjournment ARTICLE VIII Section 1. Bylaws, including amendments thereto, for this Association shall be approved by a majority of the Board at a regularly scheduled meeting of the Board. Section 2. Notice of intent to adopt or amend Bylaws shall be given to the Board normally by email or other means. The notice announcing such intent shall contain the proposed Bylaws or amendments. Membership information: Nomination forms are solicited and received between September 1 and March 1 of each school year. The alumni board's Mission and Governance commitee is responsible for reviewing each nomination form (note: you may fill out a form and turn it in to the alumni relations office or someone can nominate you) and presenting a panel of candidates to the rest of the alumni board for a vote of approval. Each year 7-9 slots are filled by new members with each new three year-term beginning in September. Click here to download all nomination materials and information. Nominate a Lakeside Alumnus or a St. Nicholas Alumna for the Distinguished Alumnus/a Award The Lakeside/St. Nicholas Alumni Association is seeking nominations for the Distinguished Alumni Award. This award is given each year at an Upper School assembly to an alumnus or alumna of Lakeside or St. Nicholas School. Major criteria for recipients include: a lifetime commitment and dedication to their profession or field, to community service or to a combination of volunteer and professional activities and accomplishments. Lakeside School defines alumni as anyone who completed at least one academic year at Lakeside or St. Nicholas Schools and left in good standing.
